Welcome to wormhole by Design3.
This web application is operated by Design3 Network Limited (“Design3”/“us”/“we”), a company incorporated under the provisions of the Companies Act, 2006 on February 10, 2024 bearing Company No. 15479457 and having its registered address at 203 Astell House, 35 Lyell Street, London, England, E14 0SU.
These Terms of Use (“Terms”) constitute a legally binding agreement between us and the person (“you”) accessing the web app wormhole, accessible at thewormhole.co, or any additional or replacement website/web app operated by Design3 (hereinafter referred to as “the Web Apps”).
1. Before using the Web Apps
By accessing or using the Web Apps or the services provided on or through the Web Apps (“Services”), you agree that you have read, understood and accepted these Terms and the Privacy Policy. We may update or revise the Terms at any time at our sole discretion and without notice to you. If we do so, the updated or revised Terms will reflect on this page. Your continued use of the Web Apps after such an update or revision signifies your acceptance of these changes.
These Web Apps are not directed to consumers in any jurisdiction where these Web Apps or the Services or content on the Web Apps are prohibited. Your use of the Web Apps, our products and Services is at all times subject to these Terms. If you do not agree, please leave immediately.
2. Our Services
- Through the Web Apps, we offer a professional learning platform and global network for individuals, teams and businesses, offering content on design, artificial intelligence and Web3, sustainability and product management. The platform may include live and recorded virtual sessions, articles (including third-party content), project creation tools, and other Content in a learning library. Access to Content or Services may require payment.

As part of our Services, we may offer artificial intelligence (AI)-supported services. These include:
- Chat services: Users can chat with Wormhole AI for responses based on Design3 content, third-party content, or ChatGPT-like services.
- Document analysis: Users can upload documents for Wormhole AI to analyze. Uploaded documents are stored securely on our servers and are not shared with third parties or used for AI training.
- Recommendations: Wormhole AI may provide tailored recommendations from our library, third-party sites, or social media.
- Progress tracker: A personal progress & expertise tracker based on engagement. These are not guarantees of expertise.
- Template completion: Users may access proprietary Design3 templates or generic templates, which can be AI-assisted. All templates must credit Design3. Design3 does not retain generated documents.
- Design3 cannot guarantee the accuracy of responses generated by Wormhole AI. You acknowledge the evolving nature of AI, and that such information may be incomplete or inaccurate. AI-provided content should not substitute professional advice and must be verified independently.
3. Ownership of Content and Liability
- Content on the Web Apps may be provided by: (i) us; (ii) other users; (iii) third parties; or (iv) AI-generated. We do not control user, third-party, or AI-generated content and cannot guarantee accuracy, integrity, or legitimacy. We are not responsible for such content or damage arising from its use.
- The ownership of all Content provided directly by Design3 remains with Design3.
- Content submitted, uploaded, or published by users remains owned by the user. We are not responsible for its accuracy or lawfulness.
4. Intellectual Property and Proprietary Rights
- All intellectual property rights (trademarks, patents, copyright, trade secrets, software, design, etc.) of the Web Apps and Services belong exclusively to Design3, except third-party or user content. You shall not use or infringe these rights in any manner.
- Use of the Web Apps does not grant you a license for our intellectual property.
5. Links to Third Party Resources
The Web Apps or Services may display links to external websites. We are not responsible for the availability, legality, or accuracy of such sites. Use of external websites is subject to the terms and policies of those websites.
6. Restrictions on User Content
- You agree not to submit content that is offensive, obscene, defamatory, misleading, dangerous, fraudulent, unlawful, incites violence, or violates rights of third parties.
- We may remove any content at our sole discretion if deemed in violation of this policy.
- We may remove content upon notice by a third party of rights violation, or by court/legal authority order.
7. Memberships
- Users may purchase memberships. Full terms (services, payment, cancellation, refunds) are viewable before purchase.
- Membership fees may change with 30 days’ notice.
- Memberships are non-transferable; unauthorized sharing may lead to suspension or termination without refund.
- We may terminate memberships or access for violations of the Terms. Refunds may be issued at Design3’s discretion.
8. Off-Website Interactions
We are not responsible for user conduct or interactions off the Web Apps, including in-person interactions. You are solely responsible for your activities with other users.
9. Warranties
- You warrant not to use the Web Apps for unlawful activity or to disrupt/disable its functionality.
- You warrant not to upload unlawful, fraudulent, misleading, offensive, or rights-infringing content.
10. Limitation of Liability and Indemnity
- Your use of the Web Apps is at your own risk. Content does not constitute professional advice. Accuracy and availability are not guaranteed.
- No warranty is provided for Content or Services unless expressly stated.
- Nothing in these Terms excludes liability for fraud, death, personal injury, or other mandatory responsibilities.
- We are not liable for indirect, punitive, or business losses.
- You agree to indemnify Design3 against third-party claims or demands resulting from your use of the Web Apps.
11. Force Majeure
We are not liable for delays or unavailability caused by unforeseen events including natural disasters, strikes, pandemics, power failures, governmental acts, or telecommunication failures.
12. Termination
We may suspend or terminate your access without notice for reasons including technical/security issues, unlawful use, breach of Terms, or government/court orders. We are not liable for suspension/termination.
13. Governing Law and Dispute Resolution
These Terms and the Privacy Policy are governed by English law. Courts of England and Wales have exclusive jurisdiction over disputes.
14. Refunds and Terminations
- For memberships purchased via the Website, you may cancel within 14 days under the Consumer Contracts Regulations 2013 for a full refund.
- Termination requests are handled case-by-case. Refunds, if any, are pro-rata subject to an administrative fee. No refunds for specific features or failures.
15. Payments
All payments are processed through Stripe, a third-party provider. We do not control Stripe’s terms including transaction fees, currency exchange, or data handling.
Changes to these Terms of use
We may update our Terms of use Policy from time to time. We will let you know via email or a prominent notice on our Website, prior to the change becoming effective.
Changes to this Privacy Policy are effective when they are posted on this page.
